Terms of Use
Daymon is free, open-source software distributed under the MIT License. These Terms govern your use of the Daymon application and the website at daymon.io. Please read them carefully.
Effective date: February 16, 2026
1. Acceptance of Terms
By downloading, installing, accessing, or using Daymon (the "Software"), or by visiting the website at daymon.io (the "Website"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not download, install, or use the Software, and do not access the Website.
Daymon is not affiliated with, endorsed by, or sponsored by Anthropic, PBC.
2. Eligibility
You must be at least 13 years of age to use Daymon. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Software, you represent and warrant that you meet these eligibility requirements.
3. License
The Daymon source code is released under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software in accordance with the terms of that license.
The MIT License applies to the source code only. The Daymon name, logo, and branding are proprietary and may not be used without prior written permission, except as necessary to give attribution as required by the MIT License.
4. Intellectual Property
- Software — the Daymon source code is licensed under the MIT License. All other rights not expressly granted are reserved.
- Branding — the Daymon name, logo, and visual identity are the property of Daymon. You may not use our branding in a way that suggests endorsement, affiliation, or sponsorship without written permission.
- Your content — you retain full ownership of all content you create using Daymon, including tasks, memories, workers, and outputs. Daymon does not claim any rights to your content.
5. Acceptable Use
You agree that you will not use Daymon to:
- Violate any applicable local, state, national, or international law or regulation.
- Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
- Generate, store, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Attempt to circumvent or disable the execution controls, safety mechanisms, or other protective features of the Software.
- Interfere with or disrupt the integrity or performance of any third-party service connected to Daymon, including Anthropic's Claude API.
You are responsible for ensuring your use of Daymon complies with Anthropic's terms of service and acceptable use policy, including any rate limits, usage policies, or content restrictions.
6. Third-Party Services
- Daymon uses Claude CLI by Anthropic to execute tasks. Your use of Claude is subject to Anthropic's terms of service, privacy policy, and acceptable use policy. Daymon is not responsible for the availability, accuracy, or conduct of Anthropic's services.
- Daymon may interact with other third-party services (e.g., websites, APIs) as directed by your task prompts. You are solely responsible for ensuring such interactions comply with the respective terms of service of those third-party services.
7. User Responsibility
- You are solely responsible for the content of the tasks, prompts, instructions, and system prompts you create in Daymon.
- You are responsible for all actions taken by automated tasks running on your machine, including any files created, modified, deleted, or any commands executed.
- You should review task outputs and verify their accuracy before relying on them for any purpose.
- You acknowledge that AI-generated outputs may contain errors, inaccuracies, or biases, and that Daymon makes no guarantees about the correctness of task results.
8. Local Execution
- Daymon executes tasks on your local machine using your system resources and your Claude subscription.
- You are responsible for ensuring that automated tasks do not consume excessive resources, interfere with other software, or perform unintended actions on your system.
- Daymon provides execution controls (timeout, maximum turns, allowed/disallowed tools) to help you constrain task behavior. You are encouraged to use these controls, especially for unattended or scheduled tasks.
9. No Warranty
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
Daymon does not warrant that the Software will be error-free, uninterrupted, secure, or that it will meet your specific requirements.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAYMON, ITS CONTRIBUTORS, OR COPYRIGHT HOLDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES (WHETHER INCURRED DIRECTLY OR INDIRECTLY), LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use of or inability to use the Software;
- Any actions taken by automated tasks, including but not limited to file modifications, command execution, or data processing;
- Any unauthorized access to or alteration of your data;
- Any third-party service interruptions, including interruptions to Claude or Anthropic's services;
- Any errors, inaccuracies, or omissions in AI-generated outputs;
- Any other matter relating to the Software.
This limitation applies regardless of the legal theory under which liability is asserted, including contract, tort, negligence, strict liability, or any other basis.
11. Indemnification
You agree to indemnify, defend, and hold harmless Daymon, its contributors, and copyright holders from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Software;
- Your violation of these Terms;
- Your violation of any applicable law or the rights of any third party;
- The content of any tasks, prompts, or outputs you create or generate using the Software.
12. Open Source Contributions
Contributions to Daymon are welcome and are governed by the MIT License. By submitting a pull request, code, documentation, or any other contribution to the Daymon repository, you represent that you have the right to submit the contribution and you agree that your contribution will be licensed under the same MIT License as the rest of the project.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Software shall first be resolved through good-faith informal negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association, with the arbitration conducted in the State of Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Daymon.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Daymon regarding your use of the Software and the Website, and supersede all prior agreements, understandings, and communications, whether written or oral.
16. Modifications to Terms
We reserve the right to revise these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where practicable, provide notice through the Software or Website. Since Daymon is open source, all changes to these Terms are visible in the public repository's commit history. Your continued use of the Software after changes are posted constitutes acceptance of the revised Terms.
